Terms of Use

1. Preamble

This EULA represents a contract between the EXIOBASE consortium, legally represented by Netherlands Organization for Applied Scientific Research TNO and you as an individual or legal person as end user. Please read this EULA carefully before completing the download or installation process or before using the EXIOBASE product. By downloading, installing or otherwise using the EXIOBASE product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, download, or use the EXIOBASE product.

2. Definitions

EULA means this End User Licence Agreement.

EXIOBASE Consortium means the institutions NTNU, TNO, SERI, CML, 2.-0 LCA Consultants, and Vienna University of Economics and Business.

EXIOBASE product means the global, detailed Multi-regional Environmentally Extended Supply and Use / Input Output files as made available via the EXIOBASE website and related documentation.

End user / Licensee means the individual or legal person who has accepted this EULA.

Licensor means the EXIOBASE consortium, legally represented by Netherlands Organization for Applied Scientific Research TNO.

3. Scope of this EULA and Subject Matter

The EXIOBASE product is solely owned by Licensor and/or any other Licensor's data supplier. They are only licensed, not sold. The EXIOBASE product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Licensor retains all intellectual property rights in the EXIOBASE product. The right to use the EXIOBASE product commercially, is subject to the payment of a fee.

4. License Fees

EXIOBASE1 year 2000 and EXIOBASE2 year 2007 Files can be downloaded free of charge. All other EXIOBASE products are subject to the payment of the applicable fee in the price list applicable at the time of ordering. The login and password may be changed by the Licensor at its own discretion.

5. Validity of Licence

This licence is valid only for the version of the EXIOBASE product that was downloaded. The user will get access to published updates of the licensed EXIOBASE product version.

6. Rights of Licensee

End user is granted a non-exclusive licence that may be assigned to use the licensed version of the EXIOBASE product on a single computer only. The End user may apply the EXIOBASE data to an unlimited number of commercial or educational projects and reports, provided that End user gives proper credit to the EXIOBASE product.

7. Restrictions of Use

The Licence is limited to only: one (1) Personal Computer System; the organisation of End User; the End User's own employees. End user shall not reproduce, copy, disseminate, sell, lease, distribute, translate, or create derivative works of the EXIOBASE product or any part thereof, without written consent of the Licensor. End User shall not redistribute data from the EXIOBASE product in any form or medium, or make it available to any third party without written consent by the Licensor.

8. Other Rights of Licensor

The Licensor reserves the right to add features, provide updates, data fixes or make any other changes to the EXIOBASE product at its discretion and at any time. Notwithstanding the foregoing, the Licensor is in no way obligated to make available subsequent versions of the EXIOBASE product to the Licensee.

9. Validity and Material Defects of EXIOBASE Product

It is the responsibility of Licensee to verify and to assess the validity and integrity of the EXIOBASE product prior to its use.

10. Liability

Licensor shall not be liable for any material defects/damages, including consequential damages, loss of income, business or profit, arising out of or in connection with the use or inability to use the EXIOBASE product. Licensor's liability for any defect is limited to problems that occurred during the transfer of the EXIOBASE product. Licensee assumes the entire risk as to the quality and performance of the EXIOBASE product and shall indemnify and hold harmless the Licensor from and against any and all third party claims.

11. Guarantees / Warranties

The EXIOBASE product is distributed on an "AS IS" basis, without warranty. The Licensor makes no representation or warranty, whether expressed or implied, with respect to the EXIOBASE product, including any implied warranty of merchantability or fitness for a particular purpose. The Licensor warrants the operability of the current version of the EXIOBASE product. A warranty of one (1) year shall apply regarding programming errors that would render the EXIOBASE product unusable. There is no helpdesk support.

12. Severability Clause

If any provision of this EULA becomes or is declared illegal, invalid or unenforceable for any reason, such provision shall be superseded by applicable law while the other provisions of this EULA shall remain in full force and effect.

13. Changes of this Agreement

The Licensor reserves the right to modify the terms of this EULA at any time. Any such changes will be announced to the user via the EXIOBASE website. The Licensee is required to expressly consent to the changes before using updated versions. If the Licensee denies consent, the licence shall be automatically terminated.

14. Termination

The Licensor may terminate this EULA without cause by giving one (1) month notice. If the Licensee fails to comply with the terms of this EULA, the Licensor may terminate the EULA immediately. Upon termination for non-compliance, the Licensee must destroy all copies of the EXIOBASE product.

15. Applicable Law and Court of Jurisdiction

This Agreement shall be governed and interpreted in accordance with the laws of Belgium. All disputes arising out of or in connection with this Agreement shall exclusively be brought before the competent Court in Brussels, Belgium.

By downloading, installing, or using the EXIOBASE product, you acknowledge that you have read, understood, and consent to be bound by the terms and conditions of this End User Licence Agreement.
